4. Payments & Non-Refundable Services

By purchasing services from MedMax Digital, the client acknowledges and agrees that:

Payments compensate the Company for professional time, expertise, consultation, creative work, development labor, and technical services;
Deposits, retainers, setup fees, milestone payments, and completed work are non-refundable once work has commenced;
Chargebacks or payment disputes for validly rendered services may constitute breach of contract.

Refunds, if any, are issued solely at the Company’s discretion unless otherwise required by applicable law.

5. Intellectual Property Rights

5.1 Company Property

All proprietary systems, source code frameworks, methodologies, development processes, templates, concepts, drafts, and unreleased materials remain the intellectual property of MedMax Digital unless otherwise agreed in writing.

5.2 Client Property

Clients retain ownership of trademarks, logos, and materials supplied by them.

The client warrants that they possess lawful rights to all materials submitted to the Company.

6. Limitation of Liability

To the fullest extent permitted under California law and applicable United States law, MedMax Digital shall not be liable for:

Indirect or consequential damages;
Loss of revenue, profits, or business opportunities;
Data loss;
Cybersecurity incidents outside our reasonable control;
Third-party hosting or platform failures;
Delays caused by external providers;
Unauthorized third-party access.

Total liability for any claim arising out of services provided shall not exceed the amount paid by the client for the disputed service.

7. Third-Party Services & Platforms

Projects may rely on third-party services including hosting providers, domain registrars, payment gateways, APIs, plugins, software tools, or cloud platforms.

MedMax Digital is not responsible for:

Third-party outages;
Changes in platform policies;
Licensing restrictions;
Security vulnerabilities originating from third-party systems;
Platform discontinuations or pricing changes.

Clients remain responsible for maintaining active third-party subscriptions where required.

8. Client Conduct & Acceptable Use

Clients may not use our services for unlawful, abusive, fraudulent, harmful, or malicious purposes.

Prohibited activities include but are not limited to:

Fraud;
Malware distribution;
Copyright infringement;
Phishing or spam operations;
Hate speech;
Unauthorized hacking or intrusion attempts;
Illegal commerce or deceptive business practices.

We reserve the right to suspend or terminate services for violations of this policy.

Both parties agree to maintain confidentiality regarding proprietary business information, project materials, credentials, technical documentation, and sensitive communications unless disclosure is required by law.

10. Indemnification

Clients agree to indemnify, defend, and hold harmless MedMax Digital, its owners, employees, contractors, affiliates, and representatives from any claims, liabilities, losses, damages, legal fees, or expenses arising from:

Client-provided content;
Client misuse of services;
Violations of intellectual property rights;
Illegal or unauthorized activities;
Breach of agreements or policies.

11. Force Majeure

MedMax Digital shall not be held liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to:

Natural disasters;
Power outages;
Internet failures;
Cyberattacks;
Government actions;
Labor disputes;
Pandemics;
Third-party service interruptions.

12. Governing Law & Jurisdiction

This Legal Policy and all related agreements shall be governed by and interpreted in accordance with the laws of the State of California and applicable federal laws of the United States.

Any disputes arising from services provided by MedMax Digital shall be subject to the exclusive jurisdiction of the courts located in California.

Clients are solely responsible for ensuring that their use of our services complies with all applicable local, state, federal, and international laws and regulations.

MedMax Digital does not guarantee legal compliance for client content, marketing activities, data collection practices, or business operations.

14. Privacy & Data Protection

We may collect and process client information necessary for:

Project communication;
Billing and invoicing;
Service delivery;
Technical support;
Legal compliance.

We take commercially reasonable measures to protect client information but cannot guarantee absolute security of online communications or digital systems.

15. Policy Updates

MedMax Digital reserves the right to modify, update, or revise this Legal Policy at any time without prior notice.

16. Entire Agreement
