All services are provided on a contractual and project basis unless otherwise agreed in writing.
2. Nature of Agreement
The Client acknowledges that all payments are made for professional services, technical expertise, development time, consultation, creative work, and digital deliverables—not for physical retail goods.
By purchasing services from MedMax Digital, the Client understands that work may begin immediately following onboarding, consultation, planning, or payment confirmation.
3. Payments & Billing
3.1 Deposits
Projects may require an upfront deposit before work commences. Deposits secure project scheduling and resource allocation.
All deposits, retainers, setup fees, and milestone payments are non-refundable unless otherwise stated in writing.
3.2 Final Payments
Final project files, website transfers, credentials, deployments, or ownership rights may be withheld until all outstanding balances are paid in full.
3.3 Late Payments
Late payments may result in:

Suspension of services;

Delayed project delivery;
-
Website downtime for unpaid hosting or maintenance accounts;

Additional administrative or collection fees.
4. Client Responsibilities
The Client agrees to:

Provide accurate and complete information;

Supply required content, images, branding materials, and approvals in a timely manner;

Respond to requests for feedback or revisions promptly;

Ensure they possess legal rights to all materials submitted to the company.
Delays caused by the Client may affect project timelines and delivery dates.
5. Revisions & Scope Changes
Project pricing includes only the services specifically outlined in the approved proposal or agreement.
Additional revisions, feature requests, redesigns, or scope changes beyond the agreed project scope may incur additional charges and timeline extensions.
6. Intellectual Property
6.1 Client Materials
The Client retains ownership of content, trademarks, logos, and materials supplied by the Client.
The Client grants MedMax Digital a limited license to use such materials solely for the purpose of completing the project.
6.2 Company Work Product
All preliminary concepts, mockups, drafts, source files, development frameworks, proprietary processes, and unreleased materials remain the intellectual property of MedMax Digital unless otherwise agreed in writing.
Ownership of final approved deliverables transfers to the Client only after full payment has been received.
7. Acceptable Use
Clients may not use our services for unlawful, fraudulent, harmful, defamatory, abusive, or malicious purposes.
Prohibited activities include, but are not limited to:

Illegal activities;

Malware distribution;

Copyright infringement;

Fraudulent schemes;
-
Spam operations;
-
Hate speech or unlawful content;

Unauthorized access attempts or hacking activities.
We reserve the right to terminate services that violate these Terms.
8. Third-Party Services
Projects may integrate or rely upon third-party platforms, providers, plugins, APIs, payment processors, hosting companies, or software tools.
MedMax Digital is not responsible for:

Third-party outages;

Platform policy changes;

Security breaches outside our control;

Licensing costs;
-
Third-party service interruptions;
-
Compatibility issues introduced by external providers.
Clients are responsible for maintaining valid third-party subscriptions where applicable.
9. Project Timelines
Estimated delivery dates are provided in good faith but are not guaranteed unless expressly stated in writing.
Project timelines may be affected by:

Scope changes;

Delayed client feedback;

Technical complications;
-
Third-party delays;
-
Force majeure events.
10. Refund Policy
All services are subject to our Refund Policy and Service Agreement.
Because our services involve time, labor, consultation, creative effort, and technical work, payments made for services rendered are generally non-refundable.
By using our services, you acknowledge and agree to our refund terms.
11. Limitation of Liability
To the maximum extent permitted by law, MedMax Digital shall not be liable for:

Indirect or consequential damages;

Lost profits or business opportunities;

Data loss;

Business interruption;

Website downtime caused by third parties;

Security incidents outside our direct control.
Total liability for any claim shall not exceed the amount paid by the Client for the disputed service.
12. Indemnification
The Client agrees to indemnify and hold harmless MedMax Digital, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, legal fees, or expenses arising from:

Client-provided materials;

Client misuse of services;

Violation of laws or third-party rights;

Breach of these Terms.
13. Termination of Services
We reserve the right to suspend or terminate services at any time if:

The Client violates these Terms;

Payments are overdue;

The Client engages in abusive or unlawful conduct;

Continued work becomes commercially impractical or unsafe.
Termination does not waive the Client’s obligation to pay for completed work.
14. Confidentiality
Both parties agree to keep confidential information private and not disclose proprietary business information unless required by law.
15. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the applicable jurisdiction in which MedMax Digital operates, without regard to conflict of law principles.
16. Changes to Terms
We reserve the right to modify or update these Terms at any time.
Updated versions become effective immediately upon publication on our website or written notice to clients.
Continued use of our services constitutes acceptance of any revised Terms.
